Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Pepcount. Please read them carefully, along with our Privacy Policy, which is incorporated into these Terms by reference.

1. Acceptance of these Terms

By creating an account, accessing, or using Pepcount (the “Service”), you agree to be bound by these Terms. If you are using the Service on behalf of a business or other organisation, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, do not use the Service.

2. Description of the Service

Pepcount is a business-management platform that helps product sellers manage products, stock, orders, customers, and finances. We may add, change, or remove features over time to improve the Service. We may also set reasonable limits on storage, usage, or other aspects of the Service.

3. Account registration and security

To use most features, you must create an account, either with an email and password or by signing in with Google. You agree to provide accurate information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at support@pepcount.com if you suspect any unauthorised use of your account.

4. Your data and your customers’ data

You retain ownership of the content and data you enter into the Service. You grant us a limited licence to host, store, and process that content solely to provide and improve the Service.

You are solely responsible for the information you collect about your own customers (such as names, phone numbers, addresses, and emails) and for complying with all laws that apply to that data. This includes ensuring you have a valid lawful basis and any necessary consents to store and process customer information, and honouring requests from your customers regarding their data. For that information, you act as the controller and Pepcount acts as a processor on your behalf, as further described in our Privacy Policy.

5. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Upload content that infringes others’ rights or violates any law.
  • Attempt to gain unauthorised access to the Service, other accounts, or our systems.
  • Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure.
  • Reverse engineer, copy, or resell the Service except as permitted by law.
  • Use the Service to send spam or to store data you have no right to hold.

6. Subscription plans, billing, and cancellation

Pepcount offers different plan tiers, including free and paid plans. Paid subscriptions are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing to a paid plan, you authorise us and Stripe to charge your chosen payment method for the applicable fees until you cancel.

You can cancel your subscription at any time; cancellation takes effect at the end of your current billing period, and you will retain access to paid features until then. Except where required by law, fees already paid are non-refundable. We may change our prices or plan features, and we will give reasonable notice of any changes that affect your subscription.

7. Intellectual property

The Service, including its software, design, branding, and content (excluding your data), is owned by Pepcount or its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to use our trademarks, logos, or other brand features without our prior written permission.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that it will meet your specific requirements. You are responsible for maintaining your own backups of important data.

9. Limitation of liability

To the maximum extent permitted by law, Pepcount and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. To the extent we are found liable, our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Pepcount and its affiliates from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your use of the Service, your content, your handling of your customers’ data, or your breach of these Terms or any applicable law.

11. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Where reasonable, we will give you notice. Upon termination, your right to use the Service ends, and we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will continue to apply.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you within the Service. Your continued use of Pepcount after an update means you accept the revised Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which the Pepcount operating entity is established, without regard to its conflict-of-laws rules. You and Pepcount agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction to resolve any dispute arising out of or relating to these Terms or the Service, except where mandatory local law gives you the right to bring proceedings elsewhere.
